1. Agreement to these Terms These Terms of Service ("Terms") are a legally binding agreement between you - whether personally or on behalf of an entity ("you", "Customer") - and ContentDash PTE LTD ("DashoContent", "Company", "we", "us", "our"), a company incorporated in Singapore (registered office: 160 Robinson Road, #14-04, Singapore Business Federation Centre, Singapore 068914), concerning your access to and use of the website at dashocontent.com, the DashoContent brand-governance platform, and any related applications, tools, and services (together, the "Services").
By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services. Where you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. What DashoContent provides DashoContent is a brand-governance platform: you define each brand once in a Brand Card, score drafts and content against it, and run reviews and approvals in a governed workspace. We also offer managed content and content-operations services where our team produces or governs content for you under a separate order, statement of work, or subscription plan (each, an "Order").
The specific features, usage limits, deliverables, fees, and term applicable to you are those set out in your Order or plan. Where an Order conflicts with these Terms, the Order governs for that engagement.
3. Accounts and eligibility To use certain Services you must create an account. You agree to provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into these Terms. Notify us promptly of any unauthorised use.
4. Fees, payment and subscriptions Fees, billing frequency, and any usage limits are as stated in your Order or plan. Unless stated otherwise: fees are exclusive of applicable taxes; subscriptions renew automatically for successive terms unless cancelled before the renewal date; and fees paid are non-refundable except as required by law or as stated in our Refund Policy (/refund-policy). We may change pricing for future terms on reasonable notice.
5. Acceptable use You agree not to, and not to permit others to:
- use the Services in violation of any applicable law or third-party rights;
- upload or generate content that is unlawful, infringing, defamatory, or that you do not have the rights to use;
- attempt to gain unauthorised access to, disrupt, reverse-engineer, or probe the Services or their security;
- resell, sublicense, or provide the Services to third parties except as expressly permitted in your Order;
- use the Services to build a competing product, or to scrape, copy, or misappropriate our software or data;
- upload malware, or use the Services to send spam or unsolicited communications.
We may suspend or limit access to protect the Services, other customers, or comply with law.
6. Customer content and intellectual property Your content. You retain all rights in the brand materials, briefs, and content you provide or generate through the Services ("Customer Content"). You grant us a limited, non-exclusive licence to host, process, and use Customer Content solely to provide, secure, and improve the Services and to deliver your Order. You are responsible for having the rights and any necessary consents for Customer Content.
Deliverables. For managed-services engagements, ownership of final deliverables transfers to you as set out in your Order, typically on full payment. Until then, deliverables remain our property.
Our IP. The Services, platform, software, and all related intellectual property remain owned by DashoContent and its licensors. Nothing in these Terms transfers our IP to you except the limited rights expressly granted.
Feedback. If you give us feedback or suggestions, we may use them without restriction or obligation to you.
7. Third-party services and AI-assisted features The Services may integrate third-party services (e.g. analytics, payment, hosting, and AI/model providers). Your use of those may be subject to their own terms, and we are not responsible for third-party services. Where the Services use AI-assisted features, outputs may contain inaccuracies; you are responsible for reviewing outputs before relying on or publishing them.
8. Disclaimers The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any content or output will be accurate or achieve any particular result.
9. Limitation of liability To the fullest extent permitted by law, DashoContent and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Services or these Terms, even if advised of the possibility.
Our total aggregate liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of (a) the amount you paid us for the Services in the 12 months before the event giving rise to the claim, or (b) SGD 100. Nothing in these Terms excludes liability that cannot be excluded under Singapore law.
10. Indemnification You agree to indemnify and hold harmless DashoContent from claims, damages, and reasonable costs arising from your Customer Content, your use of the Services in breach of these Terms, or your violation of law or third-party rights.
11. Term, suspension and termination These Terms apply while you use the Services. Either party may terminate as set out in your Order; where no term is stated, you may stop using the Services at any time, and we may suspend or terminate access for breach of these Terms or non-payment, or as required by law. On termination, your right to use the Services ends. Sections that by their nature should survive (including IP, disclaimers, limitation of liability, indemnity, and governing law) survive termination. Data handling on termination is described in our Privacy Policy (/privacy-policy).
12. Changes to the Services and these Terms We may modify the Services or these Terms from time to time. Material changes to these Terms will be posted here with an updated "Last updated" date and, where required, notified to you. Continued use after changes take effect constitutes acceptance.
13. Governing law and dispute resolution These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer-protection rights available to you in your country of residence.
14. General These Terms, together with your Order and our Privacy Policy, are the entire agreement between us regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
